Party A: New Material Technology Co., Ltd.

甲方：新材料科技有限公司

Party B: Property and Casualty Company Limited

乙方：财产保险股份有限公司

For the purpose of ensuring timely economic compensation for Party A's insurable goods during domestic transportation, in the event of losses within the insurance coverage, both parties have reached an agreement through consultation. Party B agrees to underwrite Party A's domestic cargo transport on an open cover basis, and both parties hereby enter into the following Cargo Transport Open Cover Insurance Agreement, to be jointly observed.

为保障甲方可保货物在国内运输途中能及时获得经济补偿，若发生保险责任范围内的损失，双方经协商一致，乙方同意以预约保险方式承保甲方的国内货物运输业务，双方特订立本货物运输预约保险协议，共同遵照执行。

I. Insured Subject Matter 一、保险标的

Within the term of this Agreement, any goods, raw materials, etc., which fall within the scope of insured subject matter as specified in the insurance clauses, that are produced, sold, shipped out, or shipped in by Party A, shall be covered under this open cover. Party A shall insure all such goods and shall not selectively choose which to insure.

在本协议有效期内，甲方生产、销售、运出或运入的、且属于保险条款规定的保险标的范围内的任何货物、原材料等，均应纳入本预约保险合同的承保范围。甲方须为所有此类货物投保，不得选择性投保。

II. Applicable Clauses and Perils Covered

二、适用条款及承保风险

"Highway Cargo Transport Insurance Clauses (2017 Edition)" (attached hereto), "Waterway Cargo Transport Insurance Clauses (2009 Edition)" (attached hereto).

“《公路货物运输保险条款（2017版）》（附于本协议）”、“《水路货物运输保险条款（2009版）》（附于本协议）”。

Perils Covered: Cargo Insurance; 承保风险：货物运输保险；

III. Method of Insurance 三、保险方式

Within the insurance period of this Policy, the Insured shall send a Cargo Declaration Form to Party B by fax or email prior to each shipment. Coverage shall become effective only after confirmation by Party B. Party B shall not bear any liability for compensation for any goods not declared.

在本保险单的保险期间内，被保险人应在每批货物出运前，通过传真或电子邮件向乙方提交货物申报单。保险责任仅在乙方确认后生效。对于未申报的货物，乙方不承担任何赔偿责任。

IV. Term of Agreement 四、协议期限

From 00:00 on February 10, 2023 to 24:00 on February 9, 2024.

自2023年2月10日00:00起至2024年2月9日24:00止。

V. Premium Rate 五、保险费率

Comprehensive rate of 0.0118%; for vessels over 20 years old (including 20 years), an additional surcharge of 0.1% applies.

综合费率为0.0118%；对于船龄20年及以上（含20年）的船舶，需额外加收0.1%的附加费。

VI. Insurance Premium 六、保险费

Through mutual agreement, Party A shall pay the insurance premium in two installments as follows:

经双方协商一致，甲方应按以下方式分两期支付保险费：

First installment: Within one month after the first half-year of the insurance period, the Insurer (or the Policyholder) shall provide the actual incurred amount for the first six months. The Insurer shall issue an "Insurance Premium Invoice" together with the original "Cargo Insurance Policy" to the Insured (or Policyholder). The Insured (or Policyholder) shall remit the premium to the Insurer's account within 10 days after receiving the premium notice.

首期款项：保险期半年届满后一个月内，保险人（或投保人）应提供前六个月的实际发生金额。保险人应向被保险人（或投保人）出具“保险费发票”及正本“货物保险单”。被保险人（或投保人）应在收到保费通知后10日内将保费汇至保险人账户。

Second installment: Within one month after the end of the insurance period, the Insurer (or the Policyholder) shall provide the actual incurred amount for the second half-year. The Insurer shall issue an "Insurance Premium Invoice" together with the original "Cargo Insurance Policy" to the Insured (or Policyholder). The Insured (or Policyholder) shall remit the premium to the Insurer's account within 10 days after receiving the premium notice.

第二期：保险期间届满后一个月内，保险人（或投保人）应提供下半年实际发生的金额。保险人应随附原《货物运输保险单》向被保险人（或投保人）出具《保险费发票》。被保险人（或投保人）应在收到保费通知后10日内将保费汇至保险人账户。

VII. Deductible Ratio/Amount 七、免赔率/免赔额

Absolute deductible rate: 0% of the sum insured, or absolute deductible amount: RMB 0, whichever is higher.

绝对免赔额：按保险金额的0%计算，或绝对免赔额为0元人民币，以较高者为准。

VIII. Safe Transport 八、安全运输

Party A must prudently select carriers and means of transport. The transported goods and the carrying tools must comply with all relevant national or competent authority regulations concerning safe transport. If both parties have previously agreed upon specific standards regarding carriers, means of transport, packaging, etc. (such specific standards must be set forth in the Agreement), Party A shall not unilaterally lower such standards without Party B's consent. Party B shall from time to time conduct safety inspections on Party A's transported goods and carrying tools and provide loss prevention proposals, and Party A shall actively cooperate.

甲方应审慎选择承运方及运输工具。所运输的货物及承载工具须符合国家及主管部门关于安全运输的各项相关规定。若双方此前就承运方、运输工具、包装等事项约定了具体标准（该等具体标准须在本协议中明确载明），未经乙方同意，甲方不得单方面降低该等标准。乙方应定期对甲方的运输货物及承载工具进行安全检查，并提供防损建议，甲方应积极配合。

If Party A has fixed or relatively fixed carriers, upon signing this Agreement, Party A shall provide Party B with the carrier's qualification certificates, transport vehicle data, packaging conditions, and the transport contracts entered into therewith, so that Party B can select an appropriate underwriting plan.

若甲方有固定或相对固定的承运方，本协议签署后，甲方应向乙方提供承运方的资质证明、运输车辆资料、包装条件以及与之签订的运输合同，以便乙方选择合适的承保方案。

IX. Obligations of the Parties 九、双方义务

Party A guarantees that all goods, raw materials, etc., that it produces, sells, ships out, or ships in shall be fully insured with Party B.

甲方保证其生产、销售、运出或运入的所有货物、原材料等均已向乙方足额投保。

Once Party A suffers a loss within the insurance coverage, Party A shall immediately notify Party B (National Unified Service Hotline: ) and shall immediately take effective and active measures to salvage, protect, and sort the goods in order to mitigate any further loss of the insured subject matter. Party A shall also assist Party B in on-site surveys, disposal of damaged goods, and promptly provide relevant documents to Party B. After receiving all the documents from Party A, Party B shall promptly determine whether indemnity is payable according to the scope of coverage, and shall determine liability and assess the loss as quickly as possible based on the on-site survey. Once Party B reaches an agreement with Party A on the amount of indemnity, it shall make payment within 30 days. Should Party A breach the provisions of this Article, Party B shall have the right, depending on the specific circumstances, to terminate this Insurance Agreement and refuse to bear part or all of the compensation liability. Party B shall have the right, after an insured event occurs, to verify Party A's actual shipping financial records to ascertain whether Party A has insured on a full-value basis, thereby determining the method of compensation.

若甲方在保险责任范围内遭受损失，甲方应立即通知乙方（全国统一服务热线：），并立即采取有效积极的措施对货物进行施救、保护和整理，以减少保险标的的进一步损失。甲方还应协助乙方进行现场勘查、处理受损货物，并及时向乙方提供相关单证。乙方收到甲方提交的全部单证后，应根据保险责任范围及时确定是否应予赔付，并基于现场勘查尽快核定责任与损失金额。乙方与甲方就赔付金额达成一致后，应在30日内完成支付。若甲方违反本条约定，乙方有权根据具体情况解除本保险协议，拒绝承担部分或全部赔偿责任。保险事故发生后，乙方有权核查甲方实际的航运财务记录，以确认甲方是否足额投保，进而确定赔付方式。

If Party A violates the provisions of Article VIII (Safe Transport), Party B shall have the right to terminate this Insurance Agreement and refuse to bear part or all of the economic compensation liability.

若甲方违反第八条（安全运输）之规定，乙方有权解除本保险协议，并拒绝承担部分或全部经济赔偿责任。

Party A shall select or require its customers to select vessels or other means of transport suitable for safe transport. For vessels exceeding 20 years of age, Party A shall notify Party B in writing prior to dispatch. Party B may, at its discretion, decide whether to provide coverage. If coverage is granted, an additional old vessel surcharge shall apply, the rate of which shall be separately negotiated and specified in the Agreement. If Party A violates this provision, Party B may refuse to bear any compensation liability for the loss occurring during such transport.

甲方应选择或要求其客户选择适合安全运输的船舶或其他运输工具。对于船龄超过20年的船舶，甲方应在派船前书面通知乙方。乙方可自行决定是否提供承保。若予以承保，将收取额外的旧船附加费，费率另行协商并在协议中明确约定。若甲方违反本约定，乙方有权对该运输过程中发生的损失拒绝承担任何赔偿责任。

If Party A fails to fulfill its premium payment obligations as agreed by both parties, Party B shall have the right to refuse compensation after an accident or pay in proportion to the ratio of the premium actually received to the premium due.

若甲方未按双方约定履行保费支付义务，乙方有权在事故发生后拒绝赔偿，或按实际收取保费与应付保费的比例进行赔付。

X. Special Provisions X. 特别规定

1. Party A must also notify Party B in writing in advance in the following circumstances, and the insurance contract shall take effect only after Party B issues a separate policy for each shipment:

1.甲方在下述情况下亦须事先书面通知乙方，且保险合同仅在乙方就每批货物单独出具保单后生效：

●Waterway transport: single-policy sum insured exceeding RMB 20 million.

●水路运输：单保单保险金额超过人民币2000万元。

2. If the premium payable is not fully paid within the time limit stipulated in the payment method of this Cooperation Agreement, the Insurer shall have the right not to assume any insurance liability under any policy and shall have the right to recover the outstanding premium from the Policyholder and/or the Insured.

2. 若保费未在本合作协议缴费方式约定的期限内足额缴纳，保险人有权不承担任何保单项下的保险责任，并有权向投保人及/或被保险人追缴欠缴保费。

XI. Termination Clause 十一、终止条款

If either Party A or Party B intends to terminate this Agreement during the term for any reason, it shall give the other party 30 days prior written notice.

若甲、乙任何一方拟在本协议有效期内因任何原因终止本协议，均应提前30天向另一方发出书面通知。

XII. Dispute Resolution 第十二条争议解决

Any dispute arising from this Insurance Agreement shall be settled through negotiation between the parties. Should negotiation fail, the dispute shall be submitted to:

本保险协议所产生的任何争议，应由双方协商解决。协商不成的，应提交至：

□ Arbitration Commission for arbitration;

□ 仲裁委员会仲裁；

☑ Litigation before the competent court at the place of domicile.

☑ 向住所地有管辖权的法院提起诉讼

The laws of the People's Republic of China shall apply to the resolution of disputes under this Insurance Agreement.

本保险协议项下争议的解决适用中华人民共和国法律。

XIII. Miscellaneous 十三、其他

1. Party A hereby acknowledges that it is fully aware of the terms of this Insurance Agreement and the insurance clauses, including any clauses excluding the liability of the Insurer, and fully understands the relevant content, and agrees to effect insurance under this Agreement.

1. 甲方特此确认，其已充分知悉本保险协议及保险条款的内容，包括任何免除保险人责任的条款，完全理解相关内容，并同意按照本协议投保。

2. This Agreement is made in duplicate, with each party holding one original copy.
